Each service is governed by a separate engagement letter or service agreement signed with the client. These Terms apply in addition to, and not in place of, any such engagement-specific agreement.

    Audit Services: Tax audit under Section 44AB, statutory audit for companies under the Companies Act, internal audit, and special-purpose audits.

    Company & LLP Incorporation: Private limited company, OPC, LLP, Section 8 company, and partnership firm registration including DIN, DSC, and MoA/AoA drafting.

    ROC Compliance: Annual filing (AOC-4, MGT-7), DIR-3 KYC, DPT-3, MSME-1, charge creation/modification, board resolutions, and all MCA filings.

📌 The scope, timelines, fees, and deliverables for any specific service are agreed upon in writing via a separate engagement letter. These Terms govern the general relationship between you and the Firm.

Section 04

Engagement & Fees

All professional engagements commence upon execution of a written engagement letter or receipt of a confirmed work order. Fees quoted are exclusive of Goods & Services Tax (GST) at the applicable rate (currently 18%) unless explicitly stated otherwise.

📌 Key Fee & Payment Terms

  • Fees are payable in advance or as milestones specified in the engagement letter. The Firm reserves the right to withhold deliverables until outstanding dues are cleared.
  • Government fees, portal charges, stamp duty, notary charges, court fees, and out-of-pocket expenses (travel, courier, etc.) are charged separately on actual basis.
  • In the event of client-caused delays (incomplete documents, delayed approvals), the Firm is not liable for missed deadlines, late fees, or interest imposed by statutory authorities.
  • Cancellation of an engagement after commencement will attract a reasonable fee for work already performed, as assessed by the Firm.
  • Fees are non-refundable once the service has been delivered or filed with the relevant authority.
  • Payments must be made via bank transfer (NEFT/RTGS/UPI) to the Firm's designated account. Cash payments above ₹2,000 are not accepted in compliance with applicable law.

Client Responsibilities

The accuracy and completeness of all work performed by the Firm depends substantially on the information, documents, and representations furnished by the client. You agree to:

    Provide Accurate Information: Supply true, complete, and up-to-date financial records, documents, and information relevant to the service engaged. The Firm is not responsible for errors arising from incorrect or incomplete client-supplied data.
  • Timely Co-operation: Respond to queries, approve drafts, and provide missing information within agreed timelines. Delays caused by the client may result in missed statutory deadlines for which the Firm holds no liability.

    Secure Credentials: Safeguard all login credentials, OTPs, and digital signatures shared with the Firm for service delivery. Inform us immediately of any unauthorised access.

    Compliance Obligations: Remain responsible for your own compliance obligations. The Firm acts as your professional advisor and executor — final legal compliance responsibility rests with you as the taxpayer or entity.

    Third-Party Portals: Grant necessary portal access (Income Tax, GST, MCA, TRACES, etc.) promptly. Revoke access in writing once the engagement concludes.
  • 🚫
    Lawful Use: Not use our services for any unlawful purpose, including tax evasion, money laundering, fraud, or misrepresentation to any statutory authority.

Confidentiality

Both parties agree to maintain strict confidentiality of all information exchanged during the course of an engagement. The Firm will not disclose your personal, financial, or business information to any third party except:

    As required by law, court order, or regulatory authority (Income Tax Department, GST Council, SEBI, RBI, MCA, etc.).
  • With your explicit written consent for specific purposes.

    To sub-contractors or associates of the Firm engaged strictly to fulfil your service, bound by equivalent confidentiality obligations.

    Force Majeure: The Firm shall not be liable for delays or failures in performance caused by circumstances beyond our reasonable control, including acts of God, government orders, internet/portal outages, strikes, or pandemic-related disruptions.

    Third-Party Actions: The Firm is not responsible for decisions made by banks, NBFC lenders, government departments, or courts in respect of applications or representations made on your behalf.

Termination of Services

Either party may terminate a professional engagement by providing written notice. The following applies upon termination:

    Outstanding Fees: All fees for work performed up to the date of termination, including any government fees paid on your behalf, become immediately payable.

    Portal Access: The client must revoke the Firm's portal access immediately upon termination. The Firm will not take any further action on portals post-termination.

    Handover: The Firm will provide a reasonable handover note to assist transition to a new advisor, subject to outstanding fees being cleared.

🚨 The Firm reserves the right to terminate an engagement immediately and without notice if the client is found to be using our services for any unlawful purpose, or if continued engagement would compromise our professional obligations under ICAI regulations.

Dispute Resolution & Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India.

    Amicable Resolution: In the event of any dispute, both parties agree to first attempt resolution through good-faith discussions within 30 days of the dispute being raised in writing.

    Arbitration: If amicable resolution fails, disputes shall be referred to a sole arbitrator mutually appointed by both parties, with arbitration proceedings conducted in Jaipur, Rajasthan, under the Arbitration and Conciliation Act, 1996.

    Jurisdiction: For any matter not subject to arbitration, both parties submit to the exclusive jurisdiction of the courts at Jaipur, Rajasthan.

    Professional Complaints: Grievances relating to the professional conduct of our Chartered Accountants may be raised with the Institute of Chartered Accountants of India (ICAI).
